SIMPLE MEDIA REFERRAL PROGRAM TERMS

Simple Sauce Group LLC d/b/a Simple Media, 936 SW 1st Ave #323, Miami, FL 33130 (Simple Media, we, us) and the member who accepts these terms on the Referrals tab of the app (you, the Inviter) agree as follows. These terms are a separate agreement beside the Simple Media Creator Program Terms (the Creator Program Terms) and do not change them. Words defined in the Creator Program Terms have the same meaning here. We keep a record of the time, account and version of your acceptance.

1. Who may invite. Any member who has accepted the Creator Program Terms, whose access is not suspended or ended, and who owes us nothing may generate invite links, including AI Referred members. Inviting costs nothing. Each link names one Brand Deal you choose from the deals open to invitees and stops accepting new invitees when that deal closes to new creators. We may withdraw your ability to invite, or end the referral program, at any time; a referral payment already earned stays payable. We may change these terms for future invites by email on 30 days notice; the referral payment on an Invitee who joined through a link is paid under the terms and at the amount in force when that link was generated.

2. What you earn. We pay you one flat referral payment of 25 USD for each person (an Invitee) who (a) lives in the United States and joins AI Referred through your link, (b) is approved on the Brand Deal the link names, and (c) makes a first sale on that deal that is attributed to the links of the Invitee, is not reversed, is not artificial, is not a double credited sale, is not cut to 0 percent for a violation, and has been paid for by the brand under Section 8 of the Creator Program Terms. A referral payment is earned once for each Invitee. Where that first sale is reversed before the referral payment is paid, the referral payment is earned instead on the next sale of the Invitee on that Brand Deal that meets the same conditions. It is not commission and not a share of any sale: it is a fixed bonus we pay from our own funds, but only after the brand has paid for that first sale, and it never reduces the commission of the Invitee. You earn nothing for a person joining, nothing on later sales except where a reversed first sale moves the payment to the next qualifying sale as this Section provides, nothing on other deals, and nothing on people an Invitee invites. These terms pay nothing for any purchase of a Simple Media offer; any affiliate program our payment processor runs for offer purchases is separate and has its own terms.

3. How you are paid. A referral payment is paid by ACH, in US dollars, to a United States bank account in your name, with your payouts, on the schedule Section 13 of the Creator Program Terms sets for a sale you made on the date of the first sale of the Invitee, using your tier on that date. Every payout, transfer, bank or processing fee on it comes out of it. No reserve is kept from a referral payment, but it may be held, withheld or recovered under Sections 8, 11 and 12 of the Creator Program Terms as commission may. Referral payments are reported for tax purposes with your commission. Tax forms (Form 1099) for commission and referral payments are delivered electronically if you give the separate consent in the app, or on paper.

4. How you may invite. You invite as an independent business, not as our employee or agent. In every post, video, message or page that contains or promotes your link, disclose clearly, before anyone can click, that Simple Media pays you if people join through your link and make sales; turn on the platform paid partnership tool where one applies; a hashtag alone is not enough. Invite only people who live in the United States and are at least 18. You must not: send invite links by unsolicited email, text message or direct message; use automation, bots or bought traffic; post links in any Simple Media server, any Discord server a brand runs, or any group or forum whose owner does not allow promotion; state or imply any income, earnings or rate figure; describe any offer as a job, employment or guaranteed or passive income; pretend to be Simple Media or a brand; use brand names, logos or images except as the Referrals tab provides; or offer anyone a payment, reward or discount for joining.

5. Consequences. You will remove or edit invite content within 24 hours after we ask. If you break these terms we may cancel your links, end your ability to invite, and withhold or cancel referral payments on Invitees who joined through the content concerned. You will defend and indemnify Simple Media against every claim, loss and cost arising from your invite content.

6. What you see. The Referrals tab shows the number of your active Invitees and the referral payments you have earned. We do not show you the name, email, content, sales or earnings of any Invitee unless that Invitee chooses to share them, and you must not use the Referrals tab to contact or pressure any Invitee.

7. Ending and general. If your Creator Program Terms or these terms end, a referral payment is still earned where the first sale of an Invitee who joined before the end is made in the calendar month in which they end or in an earlier month, unless they ended for an immediate ground listed in Section 22 of the Creator Program Terms; nothing is earned on a first sale made after that month. Sections 19, 20, 23, 24 and 25 of the Creator Program Terms (no warranties, limit of liability, changes, notices and general terms) apply to these terms as if written here, with referral payments earned and not yet paid in place of commission earned and not yet paid. You cannot bind Simple Media or change any term of any Simple Media offer.
